JAKARTA— PT Japfa Comfeed Indonesia Tbk is planning to issue 60.37 million new shares or 7.06% that will be swapped with PT Multibreeder Adirama Indonesia Tbk’s outstanding shares.
The agenda is in regard with merger of Japfa Comfeed with Multibreeder Adirama Indonesia, PT Multiphala Adiputra, and PT Hidon.
The three companies are Japfa’s subsidiaries with a direct and indirect relation. Japfa has 73% of Multibreeder shares while the other two are Multobreeder’s units.
As written on its disclosure, released yesterday, as the company who receiving the merger, Japfa will release new shares to all Multibreeder’ outstanding shares holder with nominal value at IDR1,000 per unit. One Multibreeder’s share holder entitled woth 3.025 Japfa’s A series shares.
Before the merger, Japfa’s A series shares noted at 855.14 million or 41.28% and after merger it will be 915.51 million or 42.94% bigger.
As for merger with Multiphala Adiputra and PT Hidon, Japfa will not release new shares ass al of their shares are under Multibreeder management. (T05/msw)
